Leading Brazilian Health Food Company

  • Otsuka Pharmaceutical subsidiary Nutrition & Santé, has acquired the company Jasmine, the largest Brazilian health and functional food company*1.
  • Jasmine produces and sells health foods such as sugar-free, gluten-free and organic products and has its own distribution network across Brazil.
  • By this acquisition, Otsuka Pharmaceuticals launches its first South American nutraceutical expansion in Brazil, a promising emerging market with an important population and a booming health and functional food market.

Tokyo, Japan -- Otsuka Pharmaceutical Co. Ltd. (Head office: Tokyo, Japan; President: Taro Iwamoto) has announced the acquisition by subsidiary Nutrition & Santé (Head office: Revel, France; hereafter N&S) of Jasmine, Brazilian leader of the health and functional food industry.

Jasmine was created in 1990 by Mr. Christophe Allain and his family. It was born under the principle that eating well is living well. It focuses on a sustainable future and a simple goal: sharing the seeds of healthy eating habits.

Jasmine has introduced the first wholegrain granola in 1993 in Brazil, launched a leading organic line in 2004, and the first biscuits for diabetic patients in 2007 made with whole grain. The company is based in Curitiba, the biggest city in southern Brazil, where its main plant is also located.

In 2013, Brazil ranked 7th in GDP*2. With the economic growth, health awareness and fitness have become dominant trends. The fitness market ranks No. 2*3worldwide and the organic food market has seen an annual growth of 17% by 2017*4.

The acquisition by N&S will give Otsuka Pharmaceutical a foothold for its nutraceutical business in South America. Jasmine is considering the launch in Brazil of N&S gluten-free products, foods for diabetic patients and organic food products as well as development of new products based on the combined knowhow of the two companies. In addition to the European and Japanese markets, working together with Jasmine to further contribute to the health of Brazilian consumers will pave the way for expansion into the South American market.

Didier Suberbielle, CEO of Nutrition & Santé, said, "We cannot wait to work with Christophe Allain and his great management team. The Brazilian market offers great opportunities and, as an undisputed market leader, Jasmine has earned the respect and admiration of its clients and consumers. The values of our companies are aligned and we will help Jasmine to continue its impressive growth rate in the next decades".

By joining forces with Nutrition & Santé, Jasmine will be able to quickly launch new potential products in new categories, which they do not develop and produce today, to further reinforce its leadership in the Brazilian market.

Christophe Allain, CEO of Jasmine, said, "The values of Nutrition & Santé are aligned with those of Jasmine; therefore, we have decided to join our forces. In view of the company's leadership in the European market with more than 3,000 products, as well as its focus on innovation and technology, we believe that by merging our companies we will be better able to serve our consumers and address their health issues with top quality products. By joining forces with Nutrition & Santé, Jasmine will be able to quickly launch new products in new categories, thus further reinforcing our leadership in the Brazilian market."

"Brazil is an emerging market and Jasmine has a proven track record of developing unique products which help consumers to maintain a healthy lifestyle. Otsuka Pharmaceutical and Jasmine share both passion for the everyday health of consumers and a wealth of experience, which will aid in taking our nutraceutical business to the next level," said Vice President of Otsuka Pharmaceutical Co., Ltd. Mr. Masayuki Umeno.

International expansion of Otsuka Pharmaceuticals' nutraceuticals business began in Asia with the 1982 launch of POCARI SWEAT in Hong Kong and Taiwan. With the 1989 acquisition of U.S.-based Pharmavite LLC, Otsuka began worldwide marketing of Nature Made nutritional supplements, currently the top brand in the U.S. market*5. The 2009 acquisition of Nutrition & Santé added Gerblé, Milical, and other leading European brands to Otsuka's expanding portfolio of functional foods.

Based on its corporate philosophy of "Otsuka -people creating new products for better health worldwide," Otsuka Pharmaceutical Co., Ltd. will continue to contribute to the health and wellbeing of people around the world.
